Terms of Service

1. Acceptance of Terms

By accessing or using GoNovaTech's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services. These terms constitute a legally binding agreement between you and GoNovaTech.

2. Services Provided

GoNovaTech provides cybersecurity, compliance, and secure systems implementation services, including but not limited to:

• NIST 800-171 and CMMC compliance implementation
• Security architecture design and deployment
• Virtual CISO (vCISO) advisory services
• Security control implementation and audit preparation
• Network security, IAM, endpoint security, and SIEM deployment

Services are provided pursuant to written agreements that supersede these general terms.

3. Engagement Terms

All service engagements require a signed Statement of Work (SOW) or Master Services Agreement (MSA) that defines scope, deliverables, timelines, and fees. These Terms of Service supplement but do not replace engagement-specific agreements.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Grant timely access to systems, documentation, and personnel as required
• Respond to requests for information and approvals within agreed timelines
• Maintain confidentiality of security-related information and recommendations
• Comply with applicable laws and regulations governing their operations

5. Confidentiality

GoNovaTech maintains strict confidentiality regarding client information, technical environments, and security postures. Both parties agree to protect confidential information disclosed during the engagement and use it solely for purposes related to service delivery. Confidentiality obligations survive termination of the engagement.

6. Intellectual Property

Client-specific deliverables (security plans, compliance documentation, implementation configurations) become client property upon full payment. GoNovaTech retains ownership of methodologies, frameworks, tools, and templates used in service delivery. Neither party may use the other's trademarks or branding without prior written consent.

7. Payment Terms

Payment terms are specified in engagement agreements. Standard terms require payment within 30 days of invoice date. Late payments may incur interest charges and suspension of services. Disputed charges must be raised in writing within 15 days of invoice date.

8. Limitation of Liability

GoNovaTech provides professional services based on industry standards and best practices. However:

• We do not guarantee specific audit outcomes or certification results
• We are not responsible for client implementation of recommendations
• We are not liable for security incidents resulting from factors outside our control
• Our total liability is limited to fees paid for the specific engagement in question

This limitation applies to the fullest extent permitted by law.

9. Warranties and Disclaimers

GoNovaTech warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. Termination

Either party may terminate an engagement as specified in the applicable SOW or MSA. Termination does not relieve the client of payment obligations for services rendered prior to termination. Confidentiality and intellectual property provisions survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Disputes will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to Terms

GoNovaTech reserves the right to modify these Terms of Service. Changes will be posted on this page with an updated "Last Updated" date. Continued use of services following changes constitutes acceptance of updated terms.
